Terms & Conditions

The rules for using Zappio's AI calling, WhatsApp automation, CRM and related Services.

Introduction

These Terms & Conditions ("Terms", "Agreement" or "T&C") govern access to and use of Zappio, including its AI calling, WhatsApp automation, lead management, CRM, integrations, APIs, dashboards, credits, communication tools, AI agents, and related services (collectively, the "Services").

Zappio is operated by CODIQUBE TECHNOLOGIES (OPC) PRIVATE LIMITED, a company incorporated/registered under applicable laws of India, having its registered office in Uttar Pradesh, India ("Zappio", "we", "us", or "our").

By creating an account, purchasing a plan, activating a Service, using the platform, or clicking "I Agree", the customer ("Customer", "you", or "your") agrees to these Terms.

If you do not agree with these Terms, you must not use the Services.

1. Acceptance of the Agreement

By using Zappio, you confirm that:

  1. You have read and understood these Terms.
  2. You have authority to enter into this Agreement on behalf of yourself or the organization you represent.
  3. You agree to comply with these Terms, the applicable Privacy, Data & AI Policy, applicable laws, and third-party platform requirements.
  4. You accept responsibility for all activity performed through your account.
  5. Where applicable, you have obtained all necessary internal and third-party approvals required for your use of the Services.

These Terms, together with the applicable order form, proposal, pricing plan, SLA, and Zappio Privacy, Data & AI Policy, form the agreement between Zappio and the Customer.

2. Definitions

For purposes of these Terms:

"Account" means the Customer account used to access the Services.

"AI Agent" means an automated AI-powered calling, messaging, qualification, conversational, or workflow agent provided through Zappio.

"Customer Data" means information submitted, uploaded, transmitted, generated, or otherwise made available by the Customer through the Services, including lead data, contact information, call recordings, transcripts, WhatsApp conversations, CRM information, campaign information, qualification information, and related information.

"Credits" means prepaid or otherwise allocated usage units used for Services according to the applicable Zappio pricing or billing rules.

"Campaign" means a customer-configured calling, messaging, WhatsApp, lead qualification, follow-up, or automation workflow.

"Third-Party Services" means services, platforms, APIs, telecom networks, cloud infrastructure, AI models, communication providers, WhatsApp/Meta services, payment providers, or other external services used in connection with Zappio.

"Subscription" means the paid plan or service period selected by the Customer.

3. Agreement Structure and Precedence

The following documents may apply to the Customer:

  1. These Terms & Conditions;
  2. Zappio Privacy, Data & AI Policy;
  3. applicable order form or proposal;
  4. applicable pricing and usage rules;
  5. applicable SLA, if separately agreed.

If there is a conflict between documents, the specific written commercial agreement signed by Zappio and the Customer will govern the relevant commercial matter, followed by these Terms.

The Privacy, Data & AI Policy governs matters relating to privacy, data processing, AI data usage, retention, security, and related matters.

4. Eligibility and Account Authority

You must have legal capacity and authority to use the Services.

If you are using Zappio on behalf of a company, you represent that you have authority to bind that company to these Terms.

Zappio may refuse, restrict, or terminate accounts where it reasonably believes that an account has been created using false information, without appropriate authority, or for prohibited or unlawful purposes.

5. Zappio Services

Zappio may provide functionality including:

  • AI-powered outbound calling;
  • AI voice agents;
  • lead qualification;
  • lead follow-ups;
  • WhatsApp automation;
  • WhatsApp messaging;
  • CRM functionality;
  • lead-source integrations;
  • Excel or file-based lead upload;
  • individual lead entry;
  • APIs;
  • automated workflows;
  • AI-generated summaries;
  • dashboards and reports;
  • campaign management;
  • customer communication workflows;
  • other AI-powered business automation features.

The exact features available to a Customer depend on the applicable plan, configuration, region, third-party availability, and technical limitations.

Zappio may add, modify, remove, replace, restrict, or discontinue features from time to time.

6. No Guarantee of Business Results

Zappio provides technology and automation infrastructure.

Zappio does not guarantee:

  • lead generation;
  • lead quality;
  • call connection rates;
  • answer rates;
  • response rates;
  • appointment bookings;
  • conversions;
  • sales;
  • revenue;
  • customer acquisition;
  • successful qualification;
  • accuracy of AI classification;
  • accuracy of AI-generated information;
  • successful delivery of every message;
  • uninterrupted calling or messaging;
  • availability of telecom networks;
  • availability of WhatsApp or Meta services;
  • availability of third-party APIs;
  • any particular commercial result.

The Customer understands that business results depend on factors outside Zappio's control, including lead quality, customer campaigns, scripts, offers, pricing, market conditions, telecom networks, third-party platforms, recipient behavior, and Customer configuration.

7. Account Security

The Customer is responsible for:

  • maintaining the confidentiality of account credentials;
  • controlling access to its account;
  • maintaining accurate account information;
  • authorizing appropriate users;
  • preventing unauthorized access;
  • all activity performed through the Customer's account.

The Customer must immediately notify Zappio if it suspects unauthorized access or misuse.

Zappio may implement security controls, authentication requirements, access restrictions, rate limits, or other protective measures.

8. Customer Responsibilities

The Customer is solely responsible for:

  1. the data uploaded to Zappio;
  2. the source and legality of its lead/contact database;
  3. obtaining required permissions, consents, notices, and authorizations;
  4. campaign instructions;
  5. AI-agent instructions;
  6. scripts and conversation flows;
  7. offers and promotions;
  8. pricing and commercial claims;
  9. qualification criteria;
  10. statements made to customers or leads;
  11. use of WhatsApp and communication channels;
  12. compliance with applicable laws;
  13. ensuring its use does not violate third-party rights.

Zappio is a technology provider and does not assume responsibility for the legality, accuracy, or appropriateness of Customer-created campaigns or content.

9. Customer Campaign Responsibility

The Customer controls the campaigns it creates through Zappio.

The Customer is responsible for reviewing campaign configurations before activation, including:

  • target audience;
  • lead lists;
  • calling instructions;
  • AI prompts;
  • scripts;
  • qualification questions;
  • offers;
  • claims;
  • follow-up rules;
  • WhatsApp messages;
  • communication frequency;
  • escalation rules.

The Customer must ensure that its Campaigns are lawful and appropriate for their intended audience.

10. Telecom and Calling Compliance

The Customer is responsible for ensuring that its use of Zappio's calling functionality complies with applicable telecommunications, privacy, consumer-protection, marketing, solicitation, consent, and communication requirements.

The Customer must not use Zappio for unlawful calling, unauthorized solicitation, fraud, harassment, deception, impersonation, or other prohibited communications.

Zappio may impose technical restrictions, call limits, campaign restrictions, or other controls where required by law, telecom providers, or platform requirements.

11. AI Calling

Zappio uses artificial intelligence and automated systems to conduct conversations and perform related workflows.

AI systems may:

  • misunderstand statements;
  • produce inaccurate information;
  • incorrectly classify leads;
  • incorrectly summarize conversations;
  • fail to understand accents, languages, context, or intent;
  • behave differently from expected;
  • experience technical failures;
  • produce incomplete or unexpected responses.

The Customer remains responsible for reviewing AI configurations and determining whether AI-generated results are appropriate for its business use.

The Customer should not rely exclusively on AI output for decisions where human verification is reasonably required.

12. AI-Generated Content

AI-generated outputs, including summaries, classifications, responses, recommendations, and extracted information, may contain errors.

Zappio does not represent or warrant that AI-generated outputs are:

  • accurate;
  • complete;
  • current;
  • error-free;
  • suitable for a particular business purpose;
  • legally compliant for the Customer's particular use case.

The Customer is responsible for reviewing and validating AI-generated outputs before using them for material business, financial, contractual, regulatory, or customer-facing decisions.

13. AI Disclosure and Recording

Depending on the applicable campaign configuration, technical implementation, third-party requirements, and applicable law, calls may be recorded, transcribed, analyzed, or processed using AI.

The Customer is responsible for determining whether disclosures, notices, consents, permissions, or other requirements are required for its particular use case.

The Customer must configure and operate campaigns accordingly.

Zappio does not guarantee that every call will contain a particular disclosure unless such functionality is expressly included and configured as part of the applicable Service.

14. WhatsApp and Messaging

Zappio may provide WhatsApp and messaging functionality through third-party platforms, including Meta/WhatsApp services.

Use of these services is subject to applicable third-party terms, policies, templates, approval requirements, messaging limits, quality controls, and restrictions.

The Customer is responsible for:

  • obtaining required permissions;
  • using approved communication templates where applicable;
  • complying with applicable messaging requirements;
  • ensuring messages are lawful and appropriate;
  • managing opt-outs and recipient preferences where required.

Zappio does not guarantee uninterrupted WhatsApp availability, message delivery, template approval, account approval, or continued access to any third-party messaging feature.

15. Third-Party Platform Restrictions

Zappio may depend on third-party platforms, including:

  • telecom operators;
  • cloud infrastructure providers;
  • AI model providers;
  • WhatsApp/Meta;
  • APIs;
  • payment providers;
  • communication providers;
  • analytics providers;
  • other technology providers.

Third-party providers may:

  • change their APIs;
  • change pricing;
  • impose restrictions;
  • modify policies;
  • suspend services;
  • experience outages;
  • restrict accounts;
  • introduce usage limits;
  • discontinue services.

Zappio may modify, replace, restrict, or discontinue affected functionality where reasonably necessary.

Unless expressly stated in a separate SLA, third-party service interruptions do not automatically entitle the Customer to refunds or credits.

16. Prohibited Use

The Customer must not use Zappio for:

  • fraud or scams;
  • phishing;
  • impersonation;
  • deceptive communications;
  • harassment or threats;
  • unlawful solicitation;
  • unlawful spam;
  • unlawful collection or processing of personal data;
  • unauthorized communications;
  • malware or malicious activity;
  • circumvention of telecom or platform safeguards;
  • unlawful financial schemes;
  • unlawful lending or financial solicitation;
  • unlawful gambling;
  • prohibited goods or services;
  • infringement of intellectual property rights;
  • unlawful political or electoral communications;
  • activities prohibited by applicable law;
  • any activity intended to abuse, overload, disrupt, or compromise Zappio or third-party infrastructure.

Zappio may determine that particular use cases require additional review, restrictions, documentation, or approval.

17. Campaign Monitoring and Abuse Prevention

To protect Zappio, its customers, recipients, infrastructure, and third-party providers, Zappio may monitor platform activity for:

  • security;
  • fraud;
  • abuse;
  • spam;
  • unusual usage;
  • platform violations;
  • technical risks;
  • regulatory concerns;
  • prohibited activities.

Such monitoring does not mean Zappio assumes responsibility for the Customer's campaigns.

Zappio may request information from the Customer regarding a campaign or usage pattern.

18. Suspension and Restriction

Zappio may suspend, restrict, disable, or limit all or part of the Services where reasonably necessary, including for:

  • non-payment;
  • suspected fraud;
  • abuse;
  • spam;
  • unlawful activity;
  • violation of these Terms;
  • violation of third-party platform policies;
  • security risks;
  • excessive or abnormal usage;
  • regulatory or legal concerns;
  • risk to Zappio or third parties.

Zappio may, where appropriate:

  • stop calling;
  • stop WhatsApp messaging;
  • disable campaigns;
  • restrict API access;
  • freeze credits temporarily;
  • restrict specific features;
  • require additional information;
  • investigate the relevant activity.

For serious violations, Zappio may terminate the account immediately.

19. Termination

Either party may terminate the applicable Subscription in accordance with the applicable commercial arrangement.

Zappio may terminate or suspend the account immediately where the Customer:

  • materially breaches these Terms;
  • engages in unlawful activity;
  • engages in fraud or abuse;
  • repeatedly violates platform rules;
  • creates material legal or regulatory risk;
  • fails to pay amounts due;
  • creates a material security risk;
  • misuses third-party services.

Upon termination, access to the Services may be disabled.

Customer Data will be handled according to the Zappio Privacy, Data & AI Policy.

20. Subscription Plans

Zappio may offer:

  • monthly plans;
  • annual plans;
  • customized plans;
  • enterprise plans;
  • usage-based plans;
  • prepaid credits;
  • other commercial arrangements.

The applicable plan, pricing, included usage, features, and limits will be determined by the applicable order form, proposal, pricing page, or written commercial agreement.

21. Auto-Renewal

Unless otherwise agreed in writing, paid subscriptions may automatically renew for the applicable billing period.

The Customer must cancel the subscription before the next renewal date if it does not wish to renew.

Cancellation prevents future renewal but does not terminate the already-paid subscription period.

No refund or prorated credit will be provided for unused time in an already-paid subscription period unless expressly agreed in writing by Zappio.

22. Credits and Usage

Credits represent usage rights within Zappio and are not money, deposits, securities, or stored monetary value.

Credits may be consumed for services including calling, messaging, AI processing, or other billable functionality according to the applicable pricing and billing rules.

Unless expressly stated otherwise:

  • unused credits are non-refundable;
  • credits cannot be exchanged for cash;
  • credits cannot be transferred;
  • credits cannot be resold;
  • credits cannot be converted into another payment instrument;
  • credits expire when the applicable active subscription ends.

Promotional or bonus credits may have additional expiry or usage conditions.

23. Chargeable Usage

Usage may be chargeable once a billable operation has been initiated or processed through Zappio's infrastructure, in accordance with the applicable billing rules.

Depending on the applicable service, usage may remain chargeable even where:

  • the recipient does not answer;
  • the number is unreachable;
  • the number is invalid;
  • the recipient hangs up;
  • the conversation is unsuccessful;
  • the AI does not achieve the intended result;
  • the AI misunderstands the conversation;
  • a downstream provider fails after processing has begun.

The exact charging methodology may differ by plan, service, provider, or usage type.

24. Payment

The Customer must pay all applicable fees according to the agreed billing terms.

If payment is not received when due, Zappio may:

  • pause the Services;
  • restrict account access;
  • suspend campaigns;
  • stop calling or messaging;
  • restrict API access;
  • disable features;
  • terminate the account.

Reactivation may require settlement of outstanding amounts.

25. No Refund Policy

All payments made to Zappio are non-refundable unless Zappio expressly agrees otherwise in writing.

This includes, subject to applicable law:

  • subscription fees;
  • prepaid credits;
  • unused credits;
  • partially used plans;
  • unused subscription periods;
  • campaign-related charges;
  • usage charges.

Third-party service outages or restrictions do not automatically create a refund entitlement.

26. Taxes

All applicable taxes, duties, levies, GST, withholding obligations, or other governmental charges associated with the Services are the responsibility of the Customer unless otherwise required by applicable law.

Where applicable, Zappio may collect taxes in addition to advertised or quoted prices.

27. Pricing Changes

Zappio may change its pricing, plans, usage rates, credit rates, features, or billing structure.

Unless otherwise agreed, pricing changes will apply to future billing periods or renewals.

Continued use of the Services after the effective date of revised pricing constitutes acceptance of the revised pricing.

28. Customer Data

The Customer retains its rights in Customer Data, subject to the rights granted to Zappio under these Terms and the Privacy, Data & AI Policy.

The Customer grants Zappio the rights necessary to:

  • provide the Services;
  • process Customer Data;
  • operate AI agents;
  • conduct calling and messaging;
  • generate summaries and classifications;
  • maintain and secure the platform;
  • troubleshoot and support the Services;
  • detect abuse and security issues;
  • perform analytics;
  • improve the Services and AI systems;
  • perform AI training, testing, evaluation, and model improvement as described in the Privacy, Data & AI Policy.

The detailed rules regarding data processing, AI training, retention, deletion, and third-party processing are governed by the Privacy, Data & AI Policy.

29. AI Training and Model Improvement

The Customer acknowledges that Zappio may use Customer Data and interactions processed through the Services for AI training, testing, evaluation, quality assurance, model improvement, prompt improvement, workflow improvement, language handling, qualification improvement, objection handling, and related development activities, subject to the Privacy, Data & AI Policy.

Unless the Customer has exercised an applicable opt-out, such use may occur by default.

Data already incorporated into trained, evaluated, or developed models may not be technically identifiable or capable of being individually removed.

The Customer's rights and available opt-out mechanisms are described in the Privacy, Data & AI Policy.

30. Data Security and Privacy

Zappio will handle Customer Data according to its Privacy, Data & AI Policy.

The Customer acknowledges that:

  • no internet-based system can guarantee absolute security;
  • third-party infrastructure may be involved;
  • certain processing may occur through providers located outside India;
  • access controls and security measures may change over time;
  • security incidents may occur despite reasonable safeguards.

The Customer must review the Privacy, Data & AI Policy before using the Services.

31. Intellectual Property

Zappio and its licensors retain all rights, title, and interest in:

  • Zappio software;
  • platform architecture;
  • source code;
  • product design;
  • user interfaces;
  • workflows;
  • AI systems;
  • models;
  • prompts developed by Zappio;
  • algorithms;
  • APIs;
  • documentation;
  • trademarks;
  • logos;
  • proprietary technology;
  • platform improvements.

Except for the limited right to use the Services during the applicable subscription period, no intellectual property rights are transferred to the Customer.

The Customer must not copy, reverse engineer, modify, reproduce, resell, distribute, extract, or commercially exploit Zappio technology except as expressly permitted.

32. Customer Content

The Customer retains ownership of content, scripts, campaign instructions, offers, materials, and data submitted to Zappio, subject to the rights necessary for Zappio to provide and improve the Services.

The Customer grants Zappio a non-exclusive, worldwide, royalty-free license to host, process, reproduce, transmit, modify, and use such content as necessary to operate, secure, support, maintain, and improve the Services and as otherwise described in the Privacy, Data & AI Policy.

33. Confidentiality

Each party may receive confidential information from the other party.

Each party agrees to use reasonable measures to protect confidential information and use it only for purposes related to the business relationship.

Confidentiality obligations do not apply to information that:

  • is publicly available without breach;
  • was already lawfully known;
  • is independently developed;
  • is lawfully received from another source;
  • must be disclosed by law or governmental authority.

Zappio may disclose information to employees, contractors, advisors, service providers, and subprocessors who reasonably require access to perform their functions, subject to appropriate obligations.

34. Beta and Experimental Features

Zappio may offer beta, experimental, preview, or early-access features.

Such features may:

  • contain errors;
  • change frequently;
  • have limited functionality;
  • be unavailable;
  • be discontinued without notice;
  • not be covered by standard service commitments.

The Customer uses such features at its own discretion and risk.

35. Platform Changes

Zappio may modify the Services from time to time.

Changes may be required because of:

  • product development;
  • security;
  • infrastructure;
  • AI model changes;
  • telecom requirements;
  • third-party platform changes;
  • regulatory requirements;
  • business decisions;
  • technical limitations.

Zappio may replace substantially similar functionality where necessary.

36. Service Availability

Zappio aims to provide reliable Services but does not guarantee uninterrupted or error-free availability.

Service availability may be affected by:

  • cloud infrastructure;
  • telecom operators;
  • internet connectivity;
  • AI providers;
  • WhatsApp/Meta;
  • APIs;
  • third-party services;
  • maintenance;
  • upgrades;
  • cyber incidents;
  • government actions;
  • force majeure events.

Any service-level commitments apply only where expressly agreed in a separate written SLA.

37. Support

Support is provided according to the Customer's applicable plan or commercial agreement.

Support levels may vary between plans.

Zappio may require the Customer to provide sufficient technical, campaign, account, or usage information before investigating an issue.

38. Integrations and APIs

Where Zappio provides APIs or integrations, the Customer is responsible for:

  • credentials;
  • API keys;
  • permissions;
  • data sent through integrations;
  • configuration;
  • connected third-party accounts;
  • compliance with third-party terms.

Zappio may impose rate limits, security restrictions, authentication requirements, or usage limits.

Zappio is not responsible for failures caused by incorrect Customer configuration or changes made by third-party systems.

39. Customer Indemnification

To the maximum extent permitted by applicable law, the Customer agrees to defend, indemnify, and hold harmless Zappio, its affiliates, officers, employees, contractors, and service providers from claims, losses, liabilities, damages, penalties, costs, and reasonable expenses arising from or relating to:

  • Customer Data;
  • unlawful or unauthorized lead acquisition;
  • lack of required consent or permission;
  • Customer campaigns;
  • Customer scripts;
  • AI-agent instructions;
  • Customer offers or claims;
  • telecom violations;
  • WhatsApp or third-party platform violations;
  • misuse of the Services;
  • violation of these Terms;
  • violation of applicable law;
  • infringement of third-party rights;
  • fraud, abuse, or prohibited activity by the Customer.

40. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided on an "as available" and "as is" basis.

Zappio does not warrant that the Services will:

  • always be available;
  • operate without errors;
  • achieve a particular business result;
  • generate revenue;
  • generate qualified leads;
  • produce accurate AI outputs;
  • deliver every communication;
  • remain compatible with every third-party platform;
  • meet every Customer requirement.

No oral or informal statement by a Zappio representative creates a warranty unless expressly incorporated into a written agreement.

41. Limitation of Liability

To the maximum extent permitted by applicable law, Zappio will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including:

  • loss of profits;
  • loss of revenue;
  • loss of business;
  • loss of customers;
  • loss of opportunities;
  • loss of goodwill;
  • loss of anticipated savings;
  • business interruption;
  • loss arising from third-party services;
  • loss caused by Customer campaigns or instructions.

To the maximum extent permitted by law, Zappio's aggregate liability arising out of or relating to the Services or these Terms will not exceed the total fees actually paid by the Customer to Zappio during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.

42. Force Majeure

Zappio will not be responsible for delay, failure, interruption, or unavailability caused by events beyond its reasonable control, including:

  • telecom outages;
  • internet failures;
  • cloud-provider failures;
  • AI-provider outages;
  • WhatsApp/Meta restrictions;
  • API failures;
  • cyberattacks;
  • natural disasters;
  • fire;
  • war;
  • civil unrest;
  • government action;
  • regulatory changes;
  • strikes;
  • infrastructure failures;
  • power failures;
  • epidemics or similar events.

43. Regulatory and Platform Changes

Changes in applicable laws, regulations, telecom requirements, AI rules, privacy requirements, WhatsApp/Meta policies, or third-party platform rules may require Zappio to modify or restrict Services.

Zappio may implement such changes without being liable for resulting feature limitations or changes in functionality.

44. Compliance Cooperation

Where reasonably necessary for legal, regulatory, security, or third-party platform compliance, Zappio may request information regarding the Customer, its campaigns, data sources, consent mechanisms, or intended use.

The Customer agrees to reasonably cooperate with such requests.

Failure to provide reasonably requested information may result in temporary restriction or suspension of affected Services.

45. Audit and Verification

Where Zappio reasonably suspects material misuse, fraud, security risk, or violation of these Terms, Zappio may request reasonable information necessary to investigate the matter.

Zappio may restrict affected Services while an investigation is ongoing.

46. Notices

Zappio may provide notices through:

  • email;
  • the Zappio dashboard;
  • account notifications;
  • website notices;
  • other electronic communication methods associated with the Customer account.

The Customer is responsible for maintaining accurate contact information.

47. Changes to These Terms

Zappio may update these Terms from time to time.

Updated Terms may be published on the Zappio website or communicated through appropriate electronic means.

Material changes may apply prospectively.

Continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms, subject to applicable law.

48. Assignment

The Customer may not assign or transfer this Agreement without Zappio's prior written consent, except where permitted by applicable law.

Zappio may assign or transfer this Agreement in connection with:

  • a merger;
  • acquisition;
  • restructuring;
  • sale of substantially all assets;
  • corporate reorganization;
  • transfer to an affiliate.

49. No Waiver

Failure by Zappio to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision later.

50. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the maximum extent permitted by law.

51. Entire Agreement

These Terms, together with the applicable commercial agreement, pricing terms, SLA where applicable, and Privacy, Data & AI Policy, constitute the agreement between the Customer and Zappio regarding the Services.

They supersede prior discussions or representations relating to the same subject matter, except where expressly incorporated into a written agreement.

52. Governing Law

These Terms will be governed by and interpreted in accordance with the laws applicable in India.

Subject to the dispute-resolution provision below, the courts having jurisdiction at the agreed venue in Uttar Pradesh, India will have jurisdiction over matters that are not required to be resolved through arbitration.

53. Dispute Resolution and Arbitration

The parties will first attempt to resolve disputes through good-faith discussions.

If a dispute cannot be resolved through such discussions, it will be referred to arbitration in accordance with applicable Indian arbitration law.

The seat and venue of arbitration will be in Uttar Pradesh, India, unless otherwise agreed in writing.

The arbitration will be conducted by a mutually agreed arbitrator or in accordance with the applicable arbitration mechanism under Indian law.

Courts having jurisdiction at the relevant Uttar Pradesh venue will have jurisdiction over matters relating to interim relief, enforcement of an arbitral award, and other matters that cannot legally be determined by arbitration.

54. Customer Acknowledgement

Before activating or continuing to use Zappio, the Customer acknowledges that it has:

  • read these Terms & Conditions;
  • understood the commercial and operational terms;
  • reviewed the Privacy, Data & AI Policy;
  • understood that Zappio uses AI and automated systems;
  • understood that AI outputs may contain errors;
  • understood that Zappio does not guarantee business results;
  • understood the no-refund policy;
  • understood the credit expiry rules;
  • understood the auto-renewal provisions;
  • understood its responsibility for campaign legality and customer/lead communications;
  • understood the applicable AI data usage provisions;
  • agreed to comply with applicable laws and third-party platform requirements.
